Terms and Conditions

Please read the following Terms of Service (effective as of 1st June 2020) carefully before using services by PT ANTUV KONSULTAN INDONESIA so that you are aware of your legal rights and obligations. This Terms of Service shall be effective upon your payment of the Sales Order.

A. Definition
  • Consultant: ANTUV KONSULTAN INDONESIA, a limited liability company providing Legal & Permitting, Manpower Outsourcing, Immigration & Visa Services, IT Consulting.
  • Consultant website: antuv.co.id or any other informed websites.
  • Terms and Conditions: agreement governing rights, obligations, and responsibilities of Client and Consultant.
  • Client: individual or company who conducts payment of the Sales Order.
  • Services: all functions and responsibilities offered by the Consultant.
  • Consultant Account: account established for payment/refund process.
  • Sales Order: list of requested services.
  • Government: institutions with authority (national or local).
B. Account, Passwords, and Security
  1. Client must be sound in mind and legally capable.
  2. Consultant may create email/government accounts with passwords for Client’s interest.
  3. Clients prohibited from manipulating Consultant system (data manipulation, scraping, etc.).
  4. Consultant may act against violations without prior notice.
  5. Loan/transfer of accounts requires full payment of outstanding invoices.
  6. Client indemnifies Consultant from misuse caused by Client negligence.
  7. If breached, Consultant may declare service completed without proof otherwise.
C. Services and Transaction
  1. Consultant provides services per Sales Order, Client provides required documents.
  2. Client pays non-refundable amount unless otherwise regulated.
  3. Payment in USD or IDR, within 7 days after invoice.
  4. Late payment penalties:
    • 30 days: 5%
    • 60 days: 10%
    • 90 days: 15%
    • 120+ days: 20%
D. Terms
  1. Contract lasts 12 months, auto-extended unless terminated 1 month before expiry.
  2. Annual services (accounting, tax, payroll, LKPM, etc.) continue uninterrupted 12 months unless force majeure.
E. Waivers

Failure to enforce does not constitute waiver of enforcement regardless of frequency.

F. Successors in Interest

This agreement binds and benefits the parties, their valid assignees and successors.

G. Assignment

Services may not be assigned without written consent of both parties.

H. Choice of Law

This agreement is governed by Indonesian law.

I. Employees

For 12 months after termination, neither party may solicit the other’s staff. Breach incurs penalty equal to 1 year salary. Not applicable for Antuv Consulting outsourcing staff.

J. Dispute Resolution
  1. Disputes first resolved by negotiation.
  2. If unresolved, arbitration per Indonesian Law No. 30/1999.
  3. Sole arbitrator in Jakarta, language English, UNCITRAL Rules.
  4. Awards final and enforceable in Jakarta courts.
  5. No court litigation during dispute resolution process.
K. Cancellation
  1. Cancellation after execution: payment non-refundable.
  2. Delays due to missing documents: Consultant may seek solution/refund (excl. govt fees, salaries, lease).
  3. Client must disclose information on criminal/financial cases. Breach allows Consultant to:
    • Accept/reject services or refund
    • Be indemnified from legal consequences
L. Notices
  1. Notices sent by post or email to info@antuv.co.id or client’s email.
  2. Other methods invalid.
M. Disclaimer
  1. Consultant best effort unless prevented by:
    • Client negligence (missing documents)
    • Force majeure (fire, flood, strike, war, policy changes, etc.)
  2. If local institutions reject despite full documents, Consultant proposes alternative solutions.
  3. If no response from Client after 9 emails within 1 year, Consultant may:
    • Suspend
    • Terminate
    • Transfer ownership/license
    • Liquidate deposit
    • Demand compensation for outstanding invoices
N. Severability

Invalidity of any provision does not affect remaining terms.

O. Miscellaneous
  1. Consultant may use Client company name/logo for marketing unless requested otherwise.
  2. Consultant may transfer rights/obligations to other companies.
  3. Client’s signature on Sales Order constitutes approval of these Terms.
  4. Any changes published on Consultant website or social media are binding.
